Payment and Billing Terms

- Failed payment attempts may result in service suspension after a grace period of 7 business days
- Refund requests must be submitted within 30 days of payment and are subject to our refund policy terms
Fee schedules may be adjusted annually to reflect changes in operational costs, regulatory requirements, or service enhancements. Any fee increases will be communicated at least 60 days in advance, and you will have the option to modify or cancel your services if you disagree with the changes.
Limitation of Liability and Indemnification
To the maximum extent permitted by Australian law, nemoravexil's liability for any claims, damages, or losses arising from your use of our services is limited to the total amount of fees paid by you in the 12 months preceding the claim. This limitation applies regardless of whether the claim is based on contract, tort, negligence, or any other legal theory.

You agree to indemnify and hold nemoravexil harmless from any claims, damages, or expenses arising from your violation of these terms, misuse of our services, or any illegal activities conducted through your account. This indemnification obligation survives termination of your account and continues for a period of three years.
Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited under Australian consumer protection laws.
Termination and Account Closure
Either party may terminate this agreement at any time with appropriate notice. Termination Procedures
- Account closure requests are processed within 5 business days of receipt and verification
- Outstanding balances must be settled before account closure can be completed
- Investment positions may need to be liquidated or transferred to external providers
- Personal data will be retained as required by law and then securely deleted according to our data retention policy
- Access to historical statements and tax documents will be maintained for seven years through our secure portal
Upon termination, your rights to use our services cease immediately, but certain provisions of these terms continue to apply, including intellectual property protections, limitation of liability, and dispute resolution procedures.
Dispute Resolution and Governing Law
These Terms of Use are governed by the laws of South Australia and the Commonwealth of Australia. Any disputes arising from these terms or your use of our services will be subject to the exclusive jurisdiction of the South Australian courts, unless you are eligible for resolution through the Australian Financial Complaints Authority (AFCA).
Complaint Resolution Process
We encourage you to contact us directly first if you have any concerns. If we cannot resolve your complaint satisfactionally, you may be entitled to lodge a complaint with AFCA, a free and independent dispute resolution service.
Before pursuing formal legal action, both parties agree to attempt resolution through good faith negotiations and, if necessary, mediation conducted by a qualified mediator agreed upon by both parties. This requirement does not prevent either party from seeking urgent injunctive relief when necessary to protect intellectual property or prevent ongoing harm.
